SAN JOAQUIN GEOLOGICAL SOCIETY
CONSTITUTION AND BYLAWS
As revised June 1983

CONSTITUTION

ARTICLE I NAME

The name of this organization is the San Joaquin Geological Society.
 

ARTICLE II PURPOSE

The purposes of the Society are:
  1. The dissemination of geological and related information of interest to geologists.
  2. To serve as a vehicle for effective action on geological and professional problems.
  3. The promotion of better social and professional relations among members.
     

ARTICLE III MEMBERSHIP

The membership of the Society shall consist of Active Members and Associate Members as provided in the Bylaws and who reside in San Joaquin District.
 

ARTICLE IV CODE OF ETHICS

Each member of the Society shall be guided by the highest standards of business ethics, personal honor and professional conduct, adhering to the laws of the land in the Member's business and professional affairs.
 

ARTICLE V GOVERNMENT

The officers of the Society shall be a President, a President Elect, a Vice-President, a Secretary, and a Treasurer.

The duties, responsibilities, term of office and other relevant matters shall be as provided in the Bylaws of this Society. The Society is a nonprofit organization.
 

ARTICLE VI DUES

Membership in this organization shall require the payment of dues to the Pacific Section AAPG as an active member or subscriber of the Pacific Section AAPG.
 

ARTICLE VII MEETINGS

Regular or special meetings shall be held as provided in the Bylaws.
 

ARTICLE VIII AMMENDMENTS

The Constitution, consisting of eight (8) articles, and the Bylaws, consisting of eleven (11) articles as appended hereto, are hereby adopted and may be amended, enlarged, or reduced as provided in the Bylaws.
 

BYLAWS

ARTICLE I MEMBERSHIP

Section 1
Active Members are those who are (a) Active Members of the Pacific Section of the American Association of Petroleum Geologists, or (b) Non-Member Subscribers of the Pacific Section of the American Association of Petroleum Geologists who possess any one of two qualifications: (1) a Bachelor, Master or Doctorate degree in one of the Geological sciences; (2) registration as a geologist by the State of California.
Section 2
Associate Members are those persons interested in geology and the promotion of the profession of geology who do not qualify as Active Members and are Non-Member Subscribers of the Pacific Section of the American Association of Petroleum Geologists.
Section 3
Only Active Members shall have the right to vote and hold office in the Society. All other privileges and activities of the Society shall apply for both Active and Associate Members.
 

ARTICLE II CODE OF ETHICS

Upon written complaint by a Member of a violation of the appropriate code of Ethics, the Executive Committee may hold hearings and discipline of the offender as deemed appropriate (up to and including expulsion from the Society) by unanimous vote of the Executive Committee.
 

ARTICLE III OFFICERS AND DELEGATES

Section 1, President
The President shall preside at all meetings of the Society and of the Executive Committee. He is the Chief executive officer and shall supervise the activities of the Society. He shall appoint such committees as are required and any other that may be desirable. He shall represent the Society on appropriate occasions. He shall take the lead in amicably and discreetly resolving any professional or ethical disputes which may arise between Members so as to preserve harmony and allow the Society to effectively accomplish its purposes. He shall present a very brief report on the state of the Society at the last meeting at which he presides.
Section 2, President Elect
The President Elect shall be the Representative of the San Joaquin Geological Society to the Pacific Section AAPG and shall attend all functions of the Pacific Section AAPG Executive Committee upon due notice and shall keep the San Joaquin Geological Society Executive Committee informed of all pertinent matters as they arise.
If the office of president becomes vacant with less than six months remaining in the term then the President Elect shall become President for the remainder of that term and will continue in the office for the next one year term he would have normally served.
After the term as President Elect he will serve as President for the following one year term.
Section 3, Vice President
The Vice President shall assume the duties of President in the event the President is absent or disabled. If the office of President becomes vacant with more than six months of the term remaining, the Vice President shall become President for the remainder of the term. He shall be responsible, with the assistance and approval of the Executive Committee, for the arrangement of programs that foster the aims and purposes of the Society. He shall also be in charge of other meeting arrangements and shall see that all notices to Members and publicity media are properly sent. He shall be charged with the procurement of available abstracts of the papers presented.
Section 4, Secretary
The Secretary shall keep such minutes at meetings of the Society and Executive Committee as are necessary to prepare a brief record of the salient events of such meetings. He is the Society Historian and shall pass on to his successor a resume of the principal Society activities during his term, including a list of papers presented, their authors, and the dates given. He shall act as a clearinghouse for all formal Society correspondence. He shall maintain liaison with the Pacific Section AAPG Membership Secretary.
Section 5, Treasurer
The Treasurer shall be in charge of the finances of the Society. He shall keep a correct, up-to-date financial report. He shall be responsible for all financial transactions involving the Society, including the sale of Society publications and any tax matters which may arise. He shall supervise the sale and purchase of all materials with the approval of, or at the direction of, the Executive Committee. He shall make a brief financial statement after six (6) months in office and a full disclosure of finances at the end of his term in office. The Treasurer will submit a statement of income and expenses of the Society, covering the previous year, to the Treasurer of the Pacific Section A.A.P.G. This will be done before March 1 each year.
Section 6, Delegate
Delegates shall be Active Members of the AAPG and shall attend the National AAPG Convention business meetings and other required AAPG functions as outlined in the Constitution and Bylaws of the AAPG. The Delegates shall prepare and present to the Society a brief summary of the salient events of the national AAPG business meetings.
 

ARTICLE IV ELECTIONS

Section 1, Nominating Committee
  1. The Nominating Committee shall consist of a Chairman (the most recent available Past President) who shall appoint four (4) additional Members (preferably recent past officers) with approval of the Executive Committee.
  2. The Committee shall select candidates from the membership for all Society offices, and Delegates to the AAPG.
  3. Nominations of two (2) or more candidates for each office shall be presented at the March meeting, at which time additional nominations may be accepted from the floor if the floor nominee or his authorized proxy is present to accept such nomination.
  4. Members of the Nominating Committee are not eligible for nomination to the Society offices. All nominees must be available and willing to serve when nominated.
Section 2, Term of Office
  1. All officers are elected for one (1) year and until replaced by election. No officer should succeed himself in office.
  2. Delegates to the AAPG are elected and serve as prescribed in the Bylaws of the AAPG
Section 3, Elections
  1. Elections shall be conducted by mail by the Nominating Committee between the March and April meetings. Notices should show a closing date for receipt of valid ballots. The Nominating Committee shall tally the vote and report the results to the President, who shall announce the results of the election. The candidates receiving the greatest number of votes for their respective offices are so elected. In the event of a tie vote, the decision between the two candidates shall be by lot, without so informing the candidates. After the newly elected officers have been properly informed of the election results, the Secretary shall destroy the ballots with the approval of the Executive Committee. The term of office shall be from July 1 through June 30 of the following year.
Section 4, Vacancies
  1. In the event one elected officer, with the exception of the President or President Elect, shall become unable or unwilling to serve, the vacant office shall become the direct responsibility of the next higher ranking officer. The duties of the vacated office shall be shared by all remaining officers. If two or more elected officers shall become unable or unwilling to serve, the Nominating Committee shall select the candidates necessary to fill such vacated offices subject to the approval of the Executive Committee and the candidates shall be elected by the majority of the voting members in attendance at the meeting following such selections.
     

ARTICLE V EXECUTIVE COMMITTEE

The Officers and Delegates of the Society, and the most recent available Past President, shall constitute the Executive Committee.
 

ARTICLE VI COMMITTEES

Section 1
The President shall appoint or dissolve all committees, except the Executive and Nominating Committees, serving during his term subject to the approval of the Executive Committee. Suggested committees include membership, publication, entertainment, bylaws, historical, field trip, continuing education, employment, geological hazards, and legislative. The legislative committee should include knowledgeable members belonging to allied societies such as the AIPG, AEG, SEG, SEPM, and AAPG.
Section 2
The President shall have the right to select a Sergeant-at-Arms and a Parliamentarian, subject to the approval of the Executive Committee.
Section 3
The President shall be an ex-officio, nonvoting member of all committees appointed by him, but he is not required to attend committee meetings. The President may appoint one of the officers to attend in his stead. An officer, preferably the President, should attend all important committee meetings.
 

ARTICLE VII MEETINGS

Section 1
Regular monthly meetings of the Society are held on the second Tuesday of each month, except July and August, at such place as designated by the Executive Committee. The meeting date in any particular month may be changed, prior to the sending of notices to members, in order to accommodate a speakers' schedule, avoid a holiday, or otherwise increase the likelihood of a successful meeting. Special meetings of the Society may be called, with due notice to members, by the Executive Committee. The Executive Committee shall hold monthly meetings and, if necessary, more often as called by the President or by mutual consent.
Section 2
Meeting should generally be conducted informally. However in the consideration of formal business, the President or a majority of the members may invoke Robert's Rule of Order to facilitate a more orderly and expeditious discussion.
Section 3
For the purpose of transacting Society business, those members present at a regular or special meeting, where prior notice has been given to all members by mail, are deemed to constitute a quorum.
 

ARTICLE VIII AMENDMENTS

The Constitution and Bylaws of the Society may be amended by the Members of the Society. Such amendments shall be presented to the Secretary in the form of a petition with the signatures of at least ten percent (10%) of the Members of the Society, or by a majority of a committee appointed by the President for that purpose with approval of the Executive Committee. It shall be the duty of the Secretary to mail a notice of the proposed amendment(s), with a ballot, to the Society Members at least two (2) weeks prior to the next meeting date. The proposed amendment(s) may be discussed at that meeting. A two-thirds (2/3) majority of the ballots returned within three (3) weeks following said meeting shall be required to pass any amendment. The same majority shall be required for passage of this Constitution and Bylaws.
 

ARTICLE IX FINANCES

Section 1
The Society does not collect dues. The Pacific Section AAPG does defray certain expenses of the Society, such as speaker's expenses within reason, and the printing of meeting notices.
Section 2
Income is received from dinner meetings and, on occasion, from the sale of publications. The Society is a non-profit organization, and expenditures should approximately equal income during the fiscal year which is concurrent with the officers' term. However, the Society shall try to maintain a cash reserve sufficient to effectively support field trips, publications, continuing education, and other projects compatible with the purposes of the Society.
Section 3
Papers presented to the Society which are of general and lasting interest should be published when possible and disseminated either directly by the Society or in joint publications with other groups.
 

ARTICLE X AFFILIATION

Section 1
The San Joaquin Geological Society will operate as an affiliate of the Pacific Section A.A.P.G.
Section 2
  1. Because nearly all of the AAPG members of the San Joaquin District belong to the Society, it is desirable to occasionally conduct AAPG business within the Society. In such cases, only AAPG members are eligible for participation, including making nominations and voting, such as for the Delegates to the AAPG.
  2. Likewise, members of other special professional geological groups conducting business relating exclusively to their particular organization may restrict participation to only their members.
     

ARTICLE XI DISSOLUTION

In the event of the dissolution of this Society, the Society shall distribute any assets remaining after the discharge of all liabilities to an appropriate non profit, charitable, scientific or educational organization as determined by a majority of the Members at that time.
